Confidentiality (NDA) and candidate relationships

1: Purpose

The purpose of this agreement is to create the framework for a good and open collaboration by ensuring that confidential information about candidates can be freely exchanged between Marketingcapacity.dk (MC) and the company, as well as specifying the details of customer and candidate relationships in the mediation/facilitation.

2: Reactivation

If the company wishes to use MC to place other candidates/profiles at a later date, this agreement can be made valid by referring to it in the email. As a result, there is no need to enter into a new agreement for each new case.

3: Confidentiality (NDA)

All information that the company receives through the facilitation process and its work with the MC/candidate must be kept confidential to everyone, including competitors. This is to ensure that the candidate and MC can feel comfortable sharing important information with the company. This obligation also applies after the facilitation period has ended.

4: How to select the best candidates for collaboration and ensure a smooth and efficient process

1: The company can through individual inquiries, favorite postings, job-specific postings or with the help of an MC recruitment consultant invite potential candidates to a collaboration dialogue.

2: As a starting point, MC selects the candidates for an online interview. The company is informed in detail about the selected candidates before the interviews, including the hourly rates. (If not enough qualified candidates are initially found, MC will try to expand the search in order to achieve this).

3: After the online interviews, the company can choose to start working with one or more of the candidates, or not if none are deemed qualified.

5: Non-committal

No-cure-no-pay: The company is not obliged to choose one or more of MC's candidates for collaboration. Payment is only made for candidates that the company chooses to use.

6: Intermediation fee

The use of Marketingcapacity.dk, including personal assistance etc. in connection with the facilitation of potential candidates, is included in the candidate's hourly or monthly rate, which is stated before the interviews. There are no other costs.

Exceptions to this are recruitment for permanent positions (pt. 7-C)

7: For the candidates that MC presents in a recruitment process, this applies:

A: During the facilitation period, all communication regarding tasks, including price negotiation, is exclusively to and via MC (Carsten Bjerregaard).

B: The facilitation relationship between the candidate, MC and the customer is active for 12 months after the candidate is presented or, if collaboration with the candidate is initiated, 12 months after the last assignment has been completed. This means that if the company wants to use the candidate for new assignments within 12 months after the presentation of the candidate, or 12 months after the completion of the last assignment, this is done exclusively through MC.

C: If the company wishes to hire the candidate on a permanent basis, an amount equivalent to 1.5 months' salary is paid to MC for recruitment, or 1.0 month's salary if the company has purchased more than 240 hours from the candidate within the last 12 months.

D: A breach of the collaboration agreements (A-C) triggers a payment to the MC corresponding to 1.5 months of full-time salary according to current hourly rates for the candidate.

E: In the event of any inconsistency between this and the specific project agreement, the specific project agreement shall prevail.

General conditions if the company selects a candidate for freelance/temporary work:

8: The company is free to choose between 2 types of collaboration agreements:

Fixed agreement:
Here the company guarantees a certain number of hours per week or month (5-37). The scope is specified in the agreement. The collaboration can be terminated with 1 week's notice in the first month. After that, 1 month's notice (other arrangements can be made). A fixed contract is typically chosen when the company has a stable need that can be planned and wants to ensure that the candidate will dedicate the necessary time and maintain the collaboration over a longer period of time.

Flexible agreement:
Here, the company is not obliged to purchase a certain number of hours, but can agree on tasks and deadlines on an ongoing basis. The collaboration with the candidate can be interrupted with 1 day's notice or with the completion of ongoing tasks. A flexible contract is typically chosen when the company has varying needs that are not easy to plan.

9: Process and billing basis during collaboration

During the collaboration, the candidate is obliged to prepare weekly timesheets with time spent and times, as well as a brief text for each item. If the company does not actively object to the weekly timesheets within a reasonable time, this is the basis for the settlement of hours. Settlement is made monthly.

10: Securing the freelancer's payment

The present agreement is hereby accepted;
